Starry Eyes Media – Master Services Agreement (MSA)

This Agreement applies to all clients using Starry Eyes Media services.

Welcome! This Master Services Agreement (“Agreement”) outlines the terms under which Starry Eyes Media, LLC provides services to our clients. By using our services or submitting payment, you agree to the following terms. If you do not agree, please contact us in writing and discontinue services.

1. Scope of Services

We provide creative and technical services including:

  • Website design, development, and hosting
  • Website maintenance and administration
  • Graphic design and brand development
  • Print reselling (design + outsourced fulfillment)
  • Content strategy, digital marketing, and SEO support

2. Service Orders

Each project or subscription includes a Service Order defining:

  • Scope of work
  • Timeline
  • Fees and payment schedule

These are legally binding and governed by this MSA.

3. Billing & Payment

Invoices are due within 15 days unless otherwise specified. A 3% processing fee applies to credit/debit card payments (excluding recurring hosting or marketing invoices). Late payments may result in suspended service.

4. Intellectual Property

You own final deliverables after full payment. We retain ownership of our prior tools, templates, and licensed assets but grant you a perpetual, non-exclusive license to use them within your project.

5. Access & Cooperation

Client-delayed projects may be removed from our active schedule if feedback, content, or approvals are not provided within 7 days. Delays over 14 days may require a rescheduling fee to regain priority.

6. Website Support Limitations

If we lack full administrative access (e.g., FTP/database), our ability to troubleshoot or recover is limited. We are not liable for downtime, data loss, or failed recovery under restricted access.

7. Printing & Proofs

You are responsible for carefully reviewing all design proofs. Once approved, we are not responsible for typos, misprints, or incorrect content in final printed materials. Reprints due to client-approved errors will be billed at cost.

8. Promotion & Credit

We may showcase your project in our portfolio, social media, or marketing materials. We may also include a footer credit and link in your website unless otherwise agreed.

9. Disclaimers & Limits of Liability

All services are provided “as-is.” We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you’ve paid for the service in question.

10. Confidentiality

We respect your privacy and confidentiality. We won’t disclose private project information unless required by law.

11. Governing Law

This Agreement is governed by the laws of the State of West Virginia. Legal disputes will be resolved in WV courts.

Acceptance

By continuing to use our services or submitting payment, you agree to be bound by this Agreement. No signature is required.
